Terms and Conditions - Elagia Unified IT & Web Solutions

These Terms and Conditions (“Agreement”) outline the rules and regulations for the use of Elagia Unified IT & Web Solutions services. By engaging with Elagia Unified IT & Web Solutions and utilizing its services, you (“Client” or “You”) agree to comply with and be bound by the following terms. Please read this Agreement carefully before proceeding with our services.

1. Scope of Services

Elagia Unified IT & Web Solutions provides web design, development, and related digital services (“Services”). The specific details of the Services will be outlined in the Service Agreement or Proposal document between Elagia Unified IT & Web Solutions and the Client. These may include, but are not limited to:

Custom website design and development
E-commerce solutions
Branding and logo design
Website maintenance and updates
Search engine optimization (SEO)
Hosting and domain registration assistance

2. Client Responsibilities

To ensure the successful completion of projects, Clients agree to:

Provide timely feedback and approvals for design, content, and functionality.
Provide all necessary content, images, and branding materials.
Ensure that the website content provided is legal, accurate, and appropriate for the intended purpose.
Maintain communication and cooperate with Elagia Unified IT & Web Solutions in a timely manner throughout the project.
Ensure that Elagia Unified IT & Web Solutions has full access to the necessary tools, accounts (e.g., domain name registrars, hosting, etc.), and resources.

3. Payment Terms

Elagia Unified IT & Web Solutions will provide a payment schedule for each project, which will include deposit amounts, progress payments, and final payments.
A non-refundable deposit (typically 50%) is required before starting the project.
The final payment is due upon project completion, before the website is launched or handed over.
Additional work outside the scope of the agreed-upon services may result in additional fees, which will be billed separately.
Payments can be made via bank transfer, PayPal, or any other method agreed upon.

4. Project Timeline

The timeline for each project will be established at the beginning of the project based on the complexity and scope of the work.
Delays in the project timeline may occur due to factors outside of Elagia Unified IT & Web Solutions control, such as delayed feedback, additional requests, or technical issues. In such cases, the timeline will be adjusted accordingly.
If the Client fails to meet deadlines or delays feedback, Elagia Unified IT & Web Solutions reserves the right to extend the project timeline.

5. Intellectual Property Rights

Upon final payment, the Client will retain full ownership of the website design and content created for them, excluding any third-party software, stock images, or tools used in the development.
Elagia Unified IT & Web Solutions retains the right to showcase the website in their portfolio, website, and marketing materials unless otherwise specified in the Service Agreement.
The Client agrees not to copy, modify, or distribute any content from the website without prior written consent from Elagia Unified IT & Web Solutions.

6. Confidentiality

Both parties agree to maintain confidentiality regarding each other’s business operations, proprietary information, and sensitive data. This includes any passwords, access codes, and login credentials that may be shared during the course of the project.

7. Content and Data

The Client is solely responsible for ensuring that all content (text, images, videos, etc.) provided for the website does not infringe any copyright, trademark, or intellectual property rights of third parties.
Elagia Unified IT & Web Solutions is not responsible for the accuracy, legality, or appropriateness of any content provided by the Client.

8. Website Maintenance and Support

If the Client requests ongoing website maintenance or support after project completion, a separate agreement or maintenance contract will be provided.
Maintenance requests beyond the original scope of the project may be subject to additional charges.

9. Termination of Services

Either party may terminate this agreement with written notice, subject to any outstanding payment obligations.
If the Client terminates the project before completion, they will be responsible for paying for all work completed up until that point.
Elagia Unified IT & Web Solutions reserves the right to suspend or terminate services if the Client fails to adhere to the payment terms, timelines, or other conditions outlined in this Agreement.

10. Limitation of Liability

Elagia Unified IT & Web Solutions shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the website or any content delivered as part of the Services.
In no event shall the liability of Elagia Unified IT & Web Solutions exceed the total amount paid by the Client for the services rendered under the Service Agreement.

11. Indemnification

The Client agrees to indemnify and hold harmless Elagia Unified IT & Web Solutions, its employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from the Client’s use of the website, its content, or any third-party services.

12. SEO and Website Performance

Elagia Unified IT & Web Solutions will implement basic SEO practices, such as meta tags, title tags, and alt text, but cannot guarantee specific rankings or traffic on search engines.
Website performance may vary depending on factors beyond Elagia Unified IT & Web Solutions control, such as search engine algorithms, competition, or changes in technology.

13. Force Majeure

Elagia Unified IT & Web Solutions will not be held liable for any delays or failure to perform due to circumstances beyond its control, including but not limited to acts of God, government regulations, natural disasters, power outages, or network failures.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in India.

15. Amendments

Elagia Unified IT & Web Solutions reserves the right to amend these Terms and Conditions at any time. Any changes will be communicated to the Client, and continued use of the Services will constitute acceptance of those changes.
